Acquisitions Manager
Description
Fiducial, an international provider of professional business and financial services to small business owners and individuals, is currently seeking an experienced, motivated and professional Acquisitions Manager for its US corporate office in Columbia, MD.
Responsibilities:
Search, identify and meet with prospective accounting, tax and payroll firms and their representatives across the United States to acquire and integrate into Fiducial’s growing network of offices.
Lead due diligence work of targets.
Assist in identifying issues for purchase price adjustments, deal structuring, or deal completion.
Assist management in identifying pre/post-acquisition issues.
Assist in preparing reports and schedules.
Develop/maintain productive working relationships with Fiducial’s regional managers and other members of acquisition and integration team.
Main Duties:Lead efforts to identify acquisition targets in line with Fiducial’s growth plan Perform due diligence, integration and transition planning, execution activities for corporate acquisition initiatives. Provides assistance in analyzing and developing improved policies, plans, methods, procedures, and systems of acquisition management programs Advise senior management and Acquisition team on technical accounting matters in connection with the Company’s acquisition and divestiture efforts. Active participation in buy-side financial due diligence. Reviewing and providing input on various transaction documents (letters of intent, purchase agreements, etc). Analyze acquisition target's financial statements and identify potential risk areas. Analyze issues regarding integrating the acquiree’s financial information into Fiducial’s accounting system. Ensure necessary data is collected to monitor escrows and earn outs.
Requirements
Understanding of acquisition process derived from experience in due diligence work (financial statement analysis, business valuation techniques, management interviews, contract reviews, dealing with integration issues, etc.). Possession of technical knowledge associated with business combinations and disposals Understanding of business drivers of accounting and tax firms Experience in project management to coordinate acquisition and integration efforts in line with company strategy. Over 5 years public or public private, CPA preferred.
