Responsibilities:
Intellectual Properties Administration
- Reviewing correspondence relating to U.S. and foreign intellectual property rights and IP applications (mainly trademarks), including updating a database
- Preparing appropriate responses or directing correspondence for further handling
- Receiving communications from outside law firms of cases filed and continually following up
- Providing assistance on trademark, copyright, and other intellectual property matters
General Corporate/Insurance
- Enhancing and maintaining the corporate legal filing system including creating an index of all files and a tickler system for key dates (contract renewals, terminations, etc.).
- Preparing all documents required to form legal entities in any state and to maintain such entities registration as well as any withdrawals, mergers and dissolutions.
- Maintaining corporate books for the parent corporation and subsidiaries including drafting and finalizing minutes of meetings, stockholder consents, director consents, updating and maintaining the corporate book indexes, and other corporate legal record-keeping as necessary.
- Assisting lawyers in preparation for, and during, deal closings; prepares closing binders and document sets for distribution.
- Administrative support for the Legal Department, in addition to general office duties including cooperating with other managers in the office to answer phones, send faxes, pick up voice mails and emails, daily post, and any other general office duties as required on a day-to-day basis.
- Maintaining insurance information for all corporate assets & operations, processing insurance application for new assets & operations, reporting claims, communicating with insurance agencies as needed
Requirements:
- Bachelor’s degree or a Paralegal Certificate from an accredited program, with 1-3 years of full-time paralegal experience
- Basic computer skills (MS Word, Excel, Outlook)
- Legal document drafting and proofreading skills, keen attention to detail
- Ability to work independently and prioritize work load with minimal supervision
- Ability to perform high-quality, accurate work and maintain a high level of productivity
