Job Description DIRECTOR, TECHNICAL ACCOUNTING, POLICY & SEC REPORTING (IRC1007876) Brief Description: The Director, Technical Accounting, Policy & SEC reporting will lead Oracle’s technical accounting, policy, SEC reporting and FAS 123R areas. These responsibilities are a part of Oracle Corporation’s corporate controllership function. The position will work across all geographies and Company functions to proactively seek, identify, interpret, document, educate and account for transactions in accordance with generally accepted accounting principles and new/emerging accounting standards. The position also oversees the preparation of the Company’s SEC filings, FAS 123r calculations, and corporate policies. In addition, the position partners with relevant parties involved with Oracle’s historically active M&A program. Detailed Description: The individual hired for this position will contribute toward the development of a world-class technical accounting and policy function, including identifying best practices, formalizing process, standardizing documentation and partnering with Oracle’s various functions to deliver timely and accurate information. The individual will also work to improve the Company’s SEC reporting process including those periodic SEC filings on Forms 10-K, 10-Q, 11-K, 8-K, S-3 and S-4 and work to improve the Company’s FAS 123R reporting process (including participating in the implementation of a new stock valuation application). The individual will also partner with relevant parties involved with Oracle’s historically active M&A program process by developing standardized processes, consulting on potential transactions, performing due diligence, assisting with complex valuations, reviewing agreements, identifying and interpreting accounting issues and communicating pertinent information to relevant parties. The individual will be responsible for ensuring SOX 404 compliance for the areas of responsibility assigned. The position directly manages a team of four and will partner and collaborate with other members of the corporate controllership function, executive financial management, corporate development, financial and non-financial process owners/managers and the Company’s external auditors. Areas of focus include: developing and standardizing process across the Company’s Technical Accounting, M&A, SEC Reporting and FAS 123R processes; proactively identifying, researching, consulting and drafting technical memorandums on significant proposed and or completed transactions and issues; monitoring the effects and assessing/communicating the effects of proposed regulations; partnering with financial controllers and global process owners to create, update or clarify global financial policies; organizing teams to develop policy and implement new accounting pronouncements; engaging various parties including financial controllers, external reporting, FP&A, tax and/or others to ensure proper accounting where complex structures and non-standard Oracle processes are implemented as a result of acquisitions or other factors; developing process to ensure financial policies are updated to reflect current business practices and compliance with GAAP; educating the global finance organization on accounting pronouncements and application of policy; conducting due diligence for proposed transactions; developing and presenting M&A due diligence communications; coordinating/reviewing third party valuation specialists’ work; reviewing treasury activities (hedging/FAS 133, investments, FX and debt) and reconciliations as well as identifying process improvement opportunities; participating in FAS 109 reviews; managing the preparation, review and filing of the Company’s SEC filings; managing the preparation of the Company’s FAS 123r calculations, corresponding reconciliations and entries; participating in the implementation of a new stock valuation and reporting application; managing responses to SEC comment letters; developing audit committee communications; assisting local statutory reporting functions with adoption and interpretation of IFRS; staying abreast of Oracle’s fluid business operations to determine changes in processes, locations, and technical accounting application; managing budgets for areas of responsibility; coordinating with external auditors; applying all of the foregoing to any companies acquired by Oracle. Oracle has operations worldwide. Travel is on an as needed basis and is not expected to exceed 10%. Preferred Skills: Preferred skills of candidates include: strong conceptual and practical experience in understanding and communicating technical accounting and SEC reporting issues specific to the software industry; proficiency with researching accounting literature including FASB, SEC, AICPA and IFRS rules and regulations, strong project management, leadership, relationship development and people management skills; results orientation with an ability to manage the overall project, collaborate with different individuals across the organization, and “roll-up the sleeves” in order to accomplish all necessary tasks; excellent communication skills and interpersonal skills with emphasis on building strong, longer-term relationships worldwide across varying geographies and functions; strong financial background with strong process understanding; eight to twelve years of total financial experience with six to eight years with a “Big 4” CPA firm preferred.
