Director, Treasury & Investor Relations Description:SUMMARY: This position is responsible for managing Company-wide financial activities, the establishment of corporate financing policies, Treasury activities (including all financing, cash management, and investment activities as well as developing and maintaining commercial and investment banking relationships) and risk management. Responsible for optimizing capital structures which result in the lowest cost of capital. In addition, the Director is responsible for investor and shareholder relations activities related to the company's common stock.ESSENTIAL DUTIES AND RESPONSIBILITIES: include the following,* Develop and maintain relationships with commercial banks, investment banking firms, leasing companies and credit rating agencies capable of providing necessary financial services.* Shareholder and Analyst Relations - Primary contact for inquiries/meetings. Track Investors and maintain database. Plan and implement strategic investor targeting program to support fair evaluation of company stock.* Function as primary liaison between Company and outside insurance service providers. In addition, communicate to other Company personnel the various of the risk management and insurance program coverage.Develop cash management policies and procedures including short-term borrowing, investments and foreign exchange management. Manage portfolio of existing debt, lease and letter of credit agreements. Determine financing policy and negotiate new financing to fund capital programs and acquisitions.* Assist with preparing underwriting submissions, making presentations to relevant insurance markets, and the negotiation of insurance coverage; set specifications as to coverage and service and develop long term relationships.Corporate communications - manage the preparation of annual reports, quarterly earnings and other press releases.* Analyze insurance and other contracts, leases, etc. to ensure favorable terms and conditions. Assure that all loss exposures are analyzed for further suitable risk management treatment.* Oversee activities of stock exchange specialist, registrar/stock transfer agent.* Manage the administration of 401(k) fund assets including selection of investment managers.* Oversee the collection and reporting of data to brokers, insurers and regulatory authorities.* Other duties as assigned.Qualifications:To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. Responsibilities include interviewing, hiring and training employees, planning, assigning, and directing work, appraising performance, rewarding and disciplining employees, and addressing complaints and resolving problems.EDUCATION AND EXPERIENCE:Bachelor's degree in Accounting or Finance required; master's degree preferred. Ten or more years of experience with treasury activities required. Extensive knowledge of finance, treasury, investor relations activities, and financial markets is essential. Knowledge of risk management preferred. CPA designation and knowledge of accounting would be a plus.LANGUAGE SKILLS:Ability to read, analyze, and interpret general business periodicals, professional journals, technical manuals and procedures, financial policies and pronouncements, and government regulations. Ability to write routine business reports and correspondence. Ability to develop presentation materials and clearly and effectively present information and respond to questions from groups within and outside the Company.MATHEMATICAL SKILLS:Ability to work with mathematical concepts such as probability and statistical inference. Ability to apply concepts such as fractions, percentages, ratios, and proportions to practical situations.REASONING ABILITY: Ability to define problems, collect data, establish facts, and draw valid conclusions. Ability to interpret an extensive variety of technical instructions furnished in mathematical or diagram form and deal with several abstract and concrete variables.OTHER SKILLS AND ABILITIES:Ability to interact with all levels of the organization. Must be flexible and possess excellent time management, project management, organizational, and strong leadership, communication and interpersonal skills.
