We are seeking an experienced CPA, Big 4 Alumni Manager or Senior Manager with specific software Revenue Recognition experience and deep knowledge of SOP 97-2, and Purchase Accounting to direct and guide acquired businesses into Nuance financial operations. This strategic, high visibility role is heavily focused on software revenue recognition as it relates to overall due diligence, oversight, and integration of acquisitions.
Due diligence: In the due diligence phase the Director of Acquisitions (Revenue) will act as a technical resource to begin understanding and shaping revenue recognition policies at the target, and make sure any potential issues are flagged as early as possible and understood by business development team. Activities would include:
• Evaluate and understand target's revenue recognition model (partnering with business development team)
• Evaluating target's revenue recognition policies and procedures (partnering with target CFO)
• Obtaining or developing whitepapers on controversial revenue recognition issues and reviewing them with BDO (partnering with target CFO)
• Estimating the impact of purchase accounting on revenue recognition (partnering with other technical resources as needed)
Oversight during stand-alone phase: While targets may operate as 'stand-alone' business units for some period, they will nonetheless need strong oversight in establishing revenue recognition controls and procedures. Activities would likely include, but not be limited to partnering with the target company financial management to:
• Revise revenue recognition policies and procedures
• Establish or refine core revenue controls (e.g., standard contract language, credit checks, deal reviews, VSOE studies, reconciliations, analysis of accruals and revenue deferrals, etc.)
• Oversee execution of controls on a monthly/quarterly basis (e.g., monitoring the close process, signing
Integration of acquisitions: The ultimate goal is for acquisitions to fold into ongoing Nuance operations. As soon as comfort in the 'stand-alone phase' is obtained, the goal will be to integrate, including:
• Identify permanent business process owners
• facilitate handoff of day to day responsibility
• Disengage when stabilized
• BA/BS in Accounting or the equivalent combination of training and experience is necessary and a CPA or other international professional license or certificate required.
• 10+ Years of related financial and accounting experience is necessary including a minimum of 6 years of supervisory experience in a publicly held corporation in excess of $300M is necessary
• Extensive understanding of revenue recognition at (or auditing) public software companies
• Excellent quantitative, written and verbal communication skills are
• Oracle Financial Software experience is highly desirable
• 3-4 years of Public Accounting Experience- Big 4 firm
• Industry experience specializing in Software Companies
• Strong knowledge and extensive experience applying SOP 97-2, SOP 81-1, and FAS 41 purchase accounting
