Director of Corporate Development/Capital Markets

The Director of Corporate Development/Capital Markets will contribute to the continued profitable operations, growth, and overall success of the company by directing all aspects related to merger, acquisition, divestitures, and accessing capital markets.
· Provide subject matter expertise in the areas of capital financing, merger, acquisition, disposition analysis and activity, and capital strategic planning and management.
· Provide strategic support and technical expertise to the Chief Executive Officer (“CEO”), Chief Financial Officer (“CFO”), VP of Corporate Development/Capital Markets, Corporate Planning Group, Corporate Finance Committee, Investment Committee, and business units on capital and related strategic matters and proposals, including mergers, acquisitions, dispositions, capital allocation, and capital management. This includes:
- Understanding mergers, acquisition, and disposition needs and plans.
- Monitoring the market for potential opportunities, staying in touch with/building relationships with investment bankers, participating and/or leading due diligence and valuation, and negotiating with potential buyers, sellers, or merger candidates.
· Direct all aspects related to accessing capital markets. Work closely with Treasury and Corporate Actuarial on all aspects of capital management (including but not limited to allocation, budgeting, financial reinsurance, debt/hybrid issuance, securitizations, and stock repurchase programs).
· Manage Capital Markets staff, including recruiting, training, management of work activities, motivation, and performance management activities.
· Provide prompt, courteous, and excellent service at an acceptable cost to all customers.
· Operate in an ethical manner in accordance with State and Federal law, the company's Corporate Code of Ethics, Affirmative Action, Diversity, employee handbook, applicable compliance and operations policies and procedures, and other policies of the company.
QUALIFICATIONS:
The successful candidate must have broad understanding and knowledge of the corporation, its businesses, capital needs, and strategic and operational plans. More specifically, the successful candidate must have the following:
· Significant M&A leadership experience.
· Broad understanding and knowledge of capital markets, how to access them, and forces that impact them.
· Ability to develop good relationships with investment bankers and other key capital markets personnel.
· Strategic and analytical thinking skills.
· Experience managing the activity of lawyers, accountants, and personnel from other functional areas in support of M&A activity.
· Ability to analyze deals from both a financial perspective and an accounting perspective.
· Ability to “sit down at the table” and make deals happen through effective negotiation.
· Ability to travel five to 15 percent of the time, including overnight stays.
EDUCATION:
Bachelor’s degree or equivalent with 5+ years capital markets experience required. MBA, highly desirable.
