Compliance Vice President

To ensure visibility to the highest level of management, the Compliance Vice President will report to the Chief Ethics and Compliance Officer. Working with the Chief Ethics and Compliance Officer, the Compliance Vice President will report on compliance to the Chief Ethics and Compliance Officer and the General Counsel on a quarterly basis, the Audit Committee of the Board of Directors semi-annually, and the full Board of Directors annually, and in each case will report more frequently as appropriate, or as directed or requested. The preferred location for this position will be Palo Alto, however, other principle HP locations will be accepted, as well. Qualifications: Undergraduate Degree required Juris Doctor (J.D.) preferred 10 plus years of relevant business or legal experience The primary responsibilities of the Compliance Vice President (CVP) fall into the following four categories:Training and EducationThe CVP will develop, initiate, maintain and revise policies and procedures for the general operation of HP's compliance program and its related activities to prevent illegal, unethical or improper conduct. The CVP will institute and maintain an effective compliance training and education program for HP, including promoting (a) use of the Compliance Helpline, (b) heightened awareness of the applicable laws and regulations referred to in HP's Corporate Policies, and (c) understanding of new and existing compliance issues and related policies and procedures. The CVP will be responsible for working with other functions as appropriate to develop an effective compliance training program, including appropriate introductory training for new employees as well as ongoing training for all employees and managers. Compliance Risk Assessment and Response ManagementThe CVP will be responsible for developing a database that manages all aspects of compliance within HP. This includes tracking of issues, risk assessment and response management. In addition, the CVP has responsibility for establishing metrics and reporting progress against metrics to appropriate management teams and the Board of Directors. The CVP will direct periodic assessment of compliance by HP's businesses and functions, including environmental, data protection, political contributions and lobbying, employment related issues, global trade and Foreign Corrupt Practices Act. The CVP will collaborate with each of HP's business segments, attorneys in the Legal Department and other functions (e.g., Risk Management, Internal Audit, and Global HR) to direct compliance issues to appropriate existing channels for investigation and resolution. The CVP will direct and lead a cross functional team, including outside consultants, to conduct a global risk assessment of HP’s public sector business activities. He or she will be responsible for production of country reports and a final report to be shared with senior HP management and the Board of Directors. The CVP acts as an independent reviewer and evaluator to ensure that compliance issues within HP are being appropriately evaluated, investigated and resolved. The CVP will monitor, and as necessary, coordinate compliance activities of other departments to remain informed of the status of all compliance activities and to identify trends. The CVP will identify potential areas of compliance vulnerability and risk, develop/ implement corrective action plans for resolution of problematic issues, and provide general guidance on how to avoid or deal with similar situations in the future. The CVP will ensure proper reporting of violations or potential violations to duly authorized enforcement agencies as appropriate and/or required. Compliance Council and Related BoardsThe CVP provides leadership and guidance to HP’s Compliance Council and the related compliance boards, all of which operate under the direction of HP’s Ethics and Compliance Committee. The Compliance Council, which is comprised of senior HP leaders from the businesses and compliance functions, has overall responsibility for developing and implementing a world class compliance environment at HP. The CVP and his or her cross-functional team will propose agenda topics for the Compliance Council and prepare substantive materials for the Compliance Council to review. The CVP will also serve as chair or another leadership position on the Compliance Resource Board, the Regulatory Compliance Review Board (review and approval of compliance mandated IT requests), the Privacy and Data Protection Board and the Competitive Intelligence Board. © 2007 Hewlett-Packard Development Company, L.P.
