Position Summary

 

The Corporate Paralegal will provide a high level of support to attorneys primarily in the area of Corporate and Securities Law.  The ideal candidate will have a familiarity with corporate law, SEC reporting, mergers and acquisitions, and corporate governance.

 

Essential Areas of Responsibility:Manage internal/external disclosure processes with respect to preparation and filing of reports with SECAssist attorneys on mergers and acquisition activity and financial transactionsManage records related to Cephalon, Inc. and all U.S. subsidiaries  Manage all aspects of compliance with Section 16 reporting requirements for company insidersManage the Annual Stockholders’ Meeting process and filing of the annual proxy statement 

 

Minimum Qualifications:BA/BS degree2 to 5 years of the above-mentioned experience as a Paralegal in a corporate department of a law firm or corporation is required.
