Must have a J.D. and be admitted to the NJ State Bar.  B.S. in biological sciences is preferred.  At least 4 years law experience with a law firm or pharmaceutical company



Responsibilities will include, but are not limited to, the following:

 

Reporting to the Corporate Counsel and will be located in Summit.  Must have extensive contract negotiation and technology transfer experience. The position will provide legal advice and legal support for a variety of in-house clients on a wide range of transactional and corporate matters, including in areas of general contractual and commercial law.  Specific duties include drafting, analyzing and negotiating clinical study agreements, confidential disclosure agreements, research and development agreements, in/out licenses, service contracts, vendor contracts, merger and acquisition agreements, and materials transfer agreements.

 

Skills/Knowledge Required:



· Must have a J.D. and be admitted to the New Jersey State Bar.  A Bachelors degree in biological sciences is preferred but not required.

· At least four years of experience as an attorney in transactional law and technology transfer, including experience representing biotechnology or pharmaceutical companies, either as outside counsel or as an in-house attorney.  Prior experience with clinical study agreements strongly desired. 

· Demonstrated ability to meet aggressive deadlines and complete multiple assignments in a timely and professional manner.

· Specialize in transactional law and technology transfer. 

· Experience in drafting and reviewing contracts.

· Extensive contract negotiation and drafting experience and proven ability to develop and implement legal strategies that support business and financial objectives.

· Excellent communication skills (verbal and written). 

· Must be a self-starter with demonstrated ability to work independently and efficiently with minimal supervision.

· Candidates should have outstanding academic credentials. 

· Proven ability to interact with all levels of management..

· Experience working within cross-functional teams strongly preferred.

· The position requires initiative, responsibility, creativity, motivation, flexibility, and the ability to work independently.
