M&A Transaction Tax Manager- SALT Description: Ernst & Young's Transaction Advisory Services (TAS) practice is one of the firm's primary three business units and offers clients financial and strategic transaction assistance with respect to acquisitions, alliances and joint ventures, issuance, repurchase, restructuring, sales and divestitures, or securitizations. E&Y's TAS team has the skills, capabilities and vision to provide the appropriate level of support and service to clients in a wide array of businesses and industries. Some of the TAS services provided by E&Y include: strategic finance/valuation, due diligence, M&A advisory, M&A tax, restructuring, post-deal solutions, transaction tax and capital markets. We are currently seeking a Senior or Manager with extensive state and local tax experience to be an integral part of the TAS team. Responsibilities: Demonstrate an understanding of increasingly complex tax concepts and effectively apply tax knowledge to client situations. Structure and perform due diligence on acquisitions and joint ventures. Analyze records of target companies for general compliance with state and local tax laws. Research state and local tax laws relating to corporate and partnership transactional issues. Communicate, both written and verbally, findings to clients. Identify potentially open state and local tax exposures. Develop and deliver innovative tax planning ideas with respect to such engagements with timely and responsive services and work products that meet and/or exceed client expectations. Thoroughly and accurately analyze information. Prepare practical and creative solutions to the client's tax situation and arrive at appropriate conclusions. Lead in developing recommendations and implementation plans. Make informed decisions in complex and judgmental areas. Requirements: Bachelor's degree, preferably with an emphasis in accounting, finance or economics (JD, LLM or MBT preferred). Minimum of 3 years of relevant tax consulting experience or the equivalent experience in business or industry. Broad, general knowledge of state and local taxes in all 50 states, with particular understanding of state income tax concepts (including various state approaches to consolidated, combined and unitary reporting), and state sales and use tax rules applicable to M&A transactions. Familiarity with preparing and reviewing state and local income tax returns. Familiarity with property tax, unemployment/withholding tax and unclaimed property (escheat) principles. General understanding of federal income and state and local laws and regulations pertaining to transactional tax matters, including successor liability for acquirers of a business and general understanding of federal income tax principles relating to tax-free organizations. M&A experience preferred. Strong organizational and verbal/written communication skills.
