Ernst & Young's Transaction Advisory Services (TAS) practice offers companies professional transaction experience. We help clients determine the right deal to do, and then assist them in doing the deal right. Within TAS, Transaction Tax services encompass the strategic development and execution of a transaction structure from a tax perspective, including executing tax due diligence, challenging assumptions about future tax performance, and assisting with the tax aspect of purchase agreements, post-closing, and other transaction tax matters. We currently have a career opportunity for a Manager in our Due Diligence team.ResponsibilitiesLead and coordinate multiple client engagement teams, participating in due diligence engagements related to acquisitions by private equity investor groups and strategic corporate buyers. Assist in the preparation of new business proposals. Identify and contact potential buyers, acquisition candidates and/or financing sources. Develop sophisticated financial models to analyze financial/operational performance results of potential buyers or targets. Develop pricing/valuation analyses for the preparation of offering documents in the structuring of transactions.Identify and analyze tax risks and opportunities while advising both strategic and private equity buyers and sellers on alternative tax strategies for acquisition, disposition, and restructuring of businesses.Manage due diligence projects and determine potential tax liabilities and exposures in both strategic and private equity transactions. Review and analyze merger agreements and provide opinion letters.Structure transactions for both strategic and financial owners, as well as corporate transactions related to acquisitions and divestitures.Effectively manage engagement teams that may consist of attorneys, CFOs, corporate directors, accountants, and tax professionals.Establish relationships with portfolio companies to show planning opportunities. Identify and capitalize on opportunities for providing tax approaches to clients and targets. To qualify, candidates must have: a bachelor's degree or equivalent a minimum of 8 years of relevant tax experience (at least 5 years of experience in M&A tax due diligence, deal structuring, and post acquisition planning experience preferred) a CPA or JD (LLM preferred) tax compliance experience preparing or reviewing business tax returns preferred, along with working knowledge of Code Section 368 for tax-free reorganizations, roll-ups, consolidation rules and regulations, stock transactions, and federal tax laws; a working knowledge of quot;quot;change of controlquot;quot; issues preferred strong communication, presentation, project management, and business development skills strong writing, research and analytical skills the ability to work in a dynamic, time-sensitive environment with varying deliverables and changing requirementsThe successful candidate must be willing and able to travel, when necessary.GA-Atlanta
