Ernst & Young's Transaction Advisory Services (TAS) practice offers companies professional transaction experience. We help clients determine the right deal to do, and then assist them in doing the deal right. Within TAS, Transaction Tax services encompass the strategic development and execution of a transaction structure from a tax perspective, including executing tax due diligence, challenging assumptions about future tax performance, and assisting with the tax aspect of purchase agreements, post-closing, and otherM&A tax matters. We currently have a career opportunity for a Manager in our Mergers and Acquisitions Taxteam. This is a great career opportunity for a high-performing professional who possesses interntational, federal, or state and local tax expertise and is looking to take their career to the next level.ResponsibilitiesDemonstrate the ability to analyze potential acquisitions and make recommendations accordingly. Provide effective tax planning strategies in support of client deliverables. Prepare and file ruling requests on behalf of our clients.Support the team in structuring large transactions for private equity funds, as well as corporate reorganizations related to acquisitions and divestitures. Demonstrate the ability to organize large engagement teams consisting of attorneys, CFOs, corporate directors, accountants, and tax professionals. To qualify, candidates must have: a bachelor's degree or equivalent, or a JD with a bachelor's degree in accounting a CPA, JD, or LLM a minimum of 5 years of related tax consulting experience (managerial experience a plus); experience with significant dealings managing due diligence projects providing a thorough review of corporate tax returns and financials strong general corporate tax experience with mergers and acquisitions, and/or proficiency in providing tax advice for middle-market clients knowledge of Code Section 368 for Tax-Free Reorganizations, roll-ups, consolidation rules and regulations, stock transactions, and federal tax laws preferred excellent writing, research and analytical skills the ability to recognize attributes of the sale or merger and to detail potential tax exposures willingness and ability to travel, when necessaryOH-Cincinnati
