Position Title: SEC Securities Paralegal Equity Edge
Location: Global Headquarters in Marietta GA
Compensation: Commensurate with Experience $55K to $65K

A leading manufacturer of folded carton packaging solutions has a newly created opening for a Stock Plan Administrator using Equity Edge in their Marietta, GA headquarters. Mission:
Administer the Company’s stock incentive program (including issuance of shares, exercise of options, payout of restricted stock units, etc.); coordinate stock and equity compensation information with Human Resources Department and Finance Department; maintain Equity Edge database for tracking shares, options and restricted stock units. Prepare quarter-end and year-end reports for all equity compensation activity.
JOB FUNCTIONS: Job functions include, but are not limited to the following:
This position is 70% securities paralegal level work.Management of subsidiary information (via Secretariat database) to include:
o Review or preparation of meeting minutes and other documents which record subsidiary director, officer and other position appointments and changes, registered office changes, etc.
o Circulation of such documents for signatures, obtaining notarization, apostilles or other certifications as may be required; disbursement of final documents to subsidiaries or outside counsel.
o Maintenance and administration of the Secretariat Desktop database which tracks all of the Corporation’s subsidiary ownership, titles held, qualification and good standing information.
o Maintenance of Law Department’s copy of minutes books and files for each subsidiary.Establish and maintain a calendaring system for the filing of state-required Annual Reports ensuring that all of our subsidiary entities remain in good standing with d/b/a names properly registered. Prepare and file annual reports for each entity, along with related documents and process payments as may be needed for any required filing fees.Track and report Board of Directors’ compensation for attendance at Board and Committee meetings, expenses and equity compensation grants.Reconcile equity compensation plan and general reserve balances for equity plans with Transfer Agent, Wells Fargo.Maintenance and administration of Equity Edge database so that it contains information for all of the company plans.Experienced in accounting, reporting and budgeting to include: create, update and maintain spreadsheets or other documents for reporting and tracking information including:Board of Directors compensationOrganization chartsPercent-owned listsD&O lists by subsidiariesEquity plan reserve balancesForecasts and accrual balances
Assist the Senior Legal Specialist with monthly and yearly budget information and analysisProvide support to Law Department attorneys, including conducting research on Westlaw, the internet, etc.Assist other support staff within the Law Department as needed with proofreading, copying, filing, mail, facsimile transmittal, answering and disseminating incoming calls and messages as well as other administrative duties as required including FileMakerPro database for general files.Other duties as assigned.
Requirements:
EDUCATION:
B.S. degree or equivalent work related experience
Paralegal certificate highly desired
BACKGROUND / EXPERIENCE:
· 2-5 years securities related experience.
· 2-5 years financial/accounting/budgeting experience
· familiarity with Section 16 filings, including initial drafting and filing of Forms 3, 4 and 5 using Bowne16® on-line filing system, a strong plus;
· familiarity with SEC filings, including initial drafting (meaning updating from the prior document), formatting, word processing and proofing Form 10-K and Proxy Statement, as well as other SEC filings, with strict attention to detail, especially with respect to tables and charts which are difficult to format
· Previous Equity Edge experience a plus.
· Secretariat database experience a plus.
SPECIFIC SKILLS:
Proven financial aptitude and experience in budgeting, accounts payable, etc.Stock administration experience.Superior Word and Excel skills.Subsidiary administration experience.Excellent communication, writing, grammar and proofreading skills.Ability to display extreme attention to detail producing highly accurate work product.Above average judgment and discretion in completing work assignments.Ability to handle multiple tasks while at the same time determining priorities for those tasks.Team player and ability to work with minimal supervision.Capability to work overtime as required on an as-needed basis.
