Primary job responsibilities would include: handling substantially all of the Company's securities matters, including all SEC filings on Forms 10-K, 10-Q and 8-K and Section 16 filings, preparation of the proxy statement and other securities matters; handling compliance with Sarbanes-Oxley and NYSE requirements; providing advice on corporate governance matters; handling legal aspects of securities offerings and other financings; and managing subsidiary corporate governance matters (with the support of a corporate paralegal).The attorney will be part of the M&A and securities group within the Law Department, and would also work on acquisitions, primarily during “off-peak” intervals between the Company’s periodic filings.Qualifications:Qualifications: Candidates must have a J.D. degree and at least 5 years of relevant experience. Substantial experience and expertise in 1934 Act filings is essential for this position. Prior in-house experience is a significant plus. Candidates for this position should have the following qualities: excellent leadership skills with a background of corporate exposure; superior written and oral communication skills; strong interpersonal skills; an executive presence; the ability to influence senior executives with credibility, analysis and judgment; and the ability to work well with time pressure..
