Acquisition Accounting Manager

Responsibilities include:Research accounting impacts under different deal terms and assist Corporate Development, Venture Integration and Business Groups in deal planning Provide finance and accounting advice on deal structures including guidance around estimating the P&L impact of the deal Ownership of accounting for significant M&A transactions (acquisitions, divestitures and investments) including pro-forma research and accounting write up and verification with external auditors Draft accounting position papers and policies based on research Determine investment, divestiture and purchase accounting Partner effectively and coordinate with Venture Integration (VI), various Business Groups, Corporate Development, Tax, Legal, Treasury and other CorpAcct groups to deliver successful acquisition integrations Develop a strong understanding of how the newly acquired entity fits into Microsoft’s strategy and business plans Work with BG Finance and VI Finance to develop and execute the finance integration / separation plans Facilitate the establishment of a stable transmit process to record the acquired entity's results Serve as a knowledge source/liaison for acquired entities and other extended M&A teams in MS finance policy, procedures and tools, as well as a resource for training, communication and guidance Perform internal control assessment of acquired entities and streamline finance processes to ensure SoX compliance Monitor and govern the financial operation of certain joint ventures Improve policies and procedures related to accounting aspects of acquisitions, mergers, joint ventures and divestitures; including technical accounting treatments, close and consolidation processes, systems planning and set up, internal controls and statutory and management reporting Assist in the development of new tools and procedures to increase efficiency and/or improve control Partner with VI Finance and BG Finance to determine processes to improve and best practices to utilize Requirements: BA/BS Accounting or related area with minimum of five years experience in public accounting and 2 years industry practice. Advanced business degree or CPA preferred. Must have strong analytical, problem solving, project management, and interpersonal skills. Must have the ability to perform with maximum effectiveness in a fast-paced, changing environment - energized by the challenge of the unfamiliar. Mergers and/or acquisition experience desired. Must have a solid understanding of GAAP and Internal Controls. This description has been designed to indicate the general nature and level of work performed by employees within this position.
