Contracts Director

PRIMARY OBJECTIVES:

 Responsible for management and administration of company contracts and subcontracts.  Reviews and resolves issues effecting company compliance and ensures satisfaction of legal requirements, company and client objectives.  Advises management of contractual rights and obligations and provides interpretation of terms and conditions.  Assists the organization in support of all Tiburon business activities, with primary focus and expertise in support of the Sales and Project Implementation processes.  Manage the contracts department staff.

 

ESSENTIAL DUTIES/RESPONSIBILITIES:

 

Responsibilities include, but are not limited to the following:

 Evaluate RFP/Q terms and conditions and provide contractual proposal inputs.Lead contract formation with development of system implementation, Software License, and support agreements.Assemble and finalize contracts for signature.Provide interpretation of contract terms and conditions for Operations organization.Develop and negotiate terms and conditions for contract amendments.Participate in project reviews to monitor compliance with contract terms and conditions.Monitor contractual compliance of project subcontractors.Provide consultation and support dispute resolution.Provide support to third-part relationships through formation and maintenance of non-disclosure agreements, teaming agreements, distribution agreements, reseller agreements, and subcontractor agreements.Ensure ongoing improvement of boilerplate contracts.Support the Contracts Team with ongoing policies & procedures development and/or improvement.Develop and/or present relevant briefing/training materials for various company functional teams (project managers, account managers, sales personnel, software development).Manage the employment, training, motivation, and evaluation functions of the Contract department staff.

 MINIMUM QUALIFICATIONS:

 BA/BS degree or equivalent.10 years of contracts administration/management experience5 years of contracts administration/management experience with State and Local governmentsDemonstrated success as a team leader, including effective personnel, budget, schedule, and workload planning and management.Strong skills in researching and interpreting contract terms and conditions.Excellent written and verbal communication skills based on a solid command of English language and grammar.Confident, articulate presentation skillsConfidence and effectiveness interacting with Tiburon and CompuDyne senior management staff.Ability to work with a wide variety of disciplines remotely to achieve results in a multi-organization environmentStrong attention to detailSelf-sufficient PC skills with solid command of Microsoft Word, Excel and PowerPoint.Ability to handle confidential information with discretion and tact.Ability to prioritize and multi-task.Ability to travel up to 25% of time.

 PREFERRED QUALIFICATIONS:

 MBA preferred.Legal background.Experience in a software development and/or software system deployment environment.Public Safety experience a plus.HIPAA familiarity.
