Position Description:
The Internal Audit Director is the Audit Committee's principal agent in assuring the independence of outside auditors, the integrity of management, and the adequacy of disclosures to stakeholders. These goals are accomplished by evaluating financial data, internal controls, department procedures, and compliance with regulatory rules and regulations and company policies. The outcomes of these evaluations will be communicated through reports and recommended actions to management and the Audit Committee.
This position is responsible for initiating and managing audits; the results of which will: help the business manage strategic risks, improve or develop efficient and effective business processes, identify and communicate best practices, and foster appropriate control levels for business and financial risks. This position is also responsible for developing detailed audit programs to monitor internal controls and provide report, as required, by various regulatory bodies.
Essential Duties and Accountabilities
▪ Organizes, directs, and controls the Internal Audit department and the work of all internal audit staff.
▪ Manages the relationship of any/all external consulting resources that are engaged to assist in the performance of any/all internal control and auditing activities at Openwave.
▪ Upon receipt of Audit Committee approval, the Internal Audit Director performs an internal risk assessment and then develops and executes the internal annual audit plan and performs duties necessary to achieve the internal audit objectives and scope.
▪ Communicates information to and from the Chairman of the Audit Committee and the President/CEO regarding the audit function.
▪ Evaluates each department of the organization periodically to determine if they are performing in compliance with management's policies, procedures, goals and objectives.
▪ Evaluates the organization's system of internal control to ensure that it is functioning as planned and that it is updated as necessary to meet changes in operating conditions.
▪ Reviews existing as well as new projects, services and procedures to ensure compliance with regulatory authority. Suggests policy and procedure changes or review as appropriate.
▪ Verifies the existence of company assets and assure that proper safeguards are maintained to protect them from losses of all kinds.
▪ Reviews the reliability and integrity of financial information and the means used to identify measure, classify and report such information.
▪ Coordinates the internal audit effort with those of the company's independent public accountants and acts as liaison with regulatory examiners.
▪ Reports the results of all internal audits to the President/CEO, Disclosure Committee and Audit Committee Chairperson.
▪ Reviews and records plan and actions taken by management to correct conditions reported by audit findings.
▪ Maintains audit files by documenting the audit procedures used and each of the audit reports completed
▪ Investigates forgeries, embezzlements, fraud and any type of losses. Procures all evidence, files applicable reports with insurance and applicable regulatory agencies and works with investigating law enforcement agencies.
▪ Establishes, coordinates and facilitates all activities associated with Openwave’s quarterly Side-Agreement Certification process. Arranges for the necessary review and required follow-through of all internal investigations. Addresses all associated areas of Internal Control deficiencies.
▪ Prepares reports and communicates status of any/all internal investigations relating to the Side-Agreement Certification process to the Openwave Disclosure Committee.
▪ Advises Audit Committee and executive management on environmental factors, industry directions and external benchmarking best practices.

Education and/or Experience
▪ MS in Accounting preferred
▪ Certified Public Accountant (CPA)
▪ Certified Internal Auditor (CIA)
▪ Expert in areas of Software Revenue Recognition 97-2
▪ Ten (10) or more years of business experience, including auditing, consulting and/or management experience is required
▪ Minimum of (5) years progressive responsibility in telecommunications or other high-technology setting
▪ Proven record of successful working relationships with both internal and external business associates
