Position Description:

Sunquest Information Systems, Inc., is a market leader in clinical data management with more than 1,200 U.S. hospitals and commercial laboratories, and over 60 customers in Canada, UK, Western Europe, and the Middle-East. The company designs, develops, and supports a comprehensive suite of information products for hospitals and laboratories that include laboratory, radiology, and pharmacy systems. Sunquest uses open systems that are scalable to any size hospital or healthcare network.We are actively searching for an In House Legal Counsel to join our Tucson, Arizona team. The Legal Counsel will be responsible for protecting the Company's intellectual property, assuring that Sunquest remains in legal compliance with all aspects of its business and ensuring that the Company adequately protects its legal interests in all contractual matters. The In-House Legal Counsel is responsible for establishing and maintaining the policies and procedures to protect the Company from a legal perspective, particularly as it relates to intellectual property, M & A activity, customer and third party contracts, and employee relations. In addition you will work with commercial operations and sales to negotiate, draft and review customer contracts, flagging issues for business resolution and proposing alternatives to achieve business objectives and minimize risk. Maintain appropriate corporate records for all legal entities. • Establish and maintain policies protecting the intellectual property rights and confidential information of company.• Responsible for HIPAA compliance.• Monitor and advise the company on relevant laws and developments related to the healthcare software industry.• Provide practical, well-reasoned legal advice relevant to the business goals of the company.• Advise on employee issues. • Involvement in due diligence and negotiation of partner agreements and acquisitions. • Provide primary legal counsel for all corporate affairs.

Qualifications:

TRAINING and EXPERIENCE• Bachelor's degree and Law degree with emphasis on corporate law - Member of the AZ State bar required.• 3-6 years of experience in corporate law required; broad exposure preferred• Prior experience with software companies and intellectual property a plus.• Strong knowledge of contract law • Knowledge of state and local employment law a plus• Well versed in legislation concerning businesses and business activities as a whole • Prior experience in contract drafting, review and negotiation required.• Working knowledge of commercial transactionsKNOWLEDGE, SKILLS, and ABILITIES• Excellent negotiating and problem-solving skills• Excellent written and verbal communications skills• Ability to manage competing priorities from various internal clients• Ability to work independently as the sole legal council as well as ability to work as a member of the management team • Excellent time management, decision-making, legal research, drafting, presentation, human relations, and organizational skills• Able to use PCs, word processing, spreadsheets, and online legal reference materials"A Proud Winner of the 2007 & 2008 Workplace Excellence Award - Tucson, Arizona" We offer a full and supportive benefits package eligible for all new hire employees and their family from day one.
