Licensing Attorney - Healthcare

Nuance Communications is a fast growing, exciting, publicly traded high technology corporation located in Burlington with approximately $800 Million Dollars in annual sales. Nuance develops, markets and licenses a variety of speech recognition and optical character scanning software products, to a broad range of customers including hospitals and other healthcare providers and vendors. The Legal Department is seeking a Attorney to join a team of transactional lawyers in support of the company's Healthcare business unit.

The candidate must have strong experience with direct end user deals as well as experience with indirect sales through various reseller channels. The Attorney will report to the Director, Legal Services and must be well-rounded with a strong legal background, experience working with business clients and a passion for technology. Candidates must demonstrate ability to work efficiently in an individual contributor role, meeting demanding deadlines and balancing multiple tasks in a fast-paced environment.


The Licensing Attorney will be expected to:

• Support the Healthcare sales organization by negotiating and drafting a variety of sales and services contracts

• Review, draft and negotiate a wide range of license agreements, channel partner agreements, including agreements with VAR's, VAD's etc., other type of reseller agreements, OEM agreements and other customer contracts

• Understand each client's business and strategic objectives and oversee the counseling of clients in all phases of the contracting process

• Handle long-term and/or complex legal projects with significant financial or other business impact

REQUIREMENTS

Five plus years in a public company setting or law firm position, heavy emphasis in licensing work and contract drafting skills, with:
• Ability to draft, negotiate and close large software deals including large enterprise licenses
• Software and intellectual property licensing expertise
• Familiarity with Channel Sales programs and agreements is desirable
• Sound knowledge of the principals of US GAAP and the revenue recognition rules within the software industry
• Familiarity with copyright and trademark laws and principles
• Experience in Healthcare is a plus
Juris Doctor degree from an accredited law school, with admission to the Massachusetts Bar Excellent verbal and written communications skills Ability to handle and prioritize a variety of projects simultaneously with minimal supervision Excellent customer service (internal and external) skills and a team-player attitude Ability to prioritize to meet tight deadlines and adjust to workload fluctuations Flexibility and willingness to work on a broad variety of legal matters
