Principal Contracts Attorney

Principal Contracts Attorney(Previous contracts experience with a Software/Technology company is strongly preferred) Position Summary:Maintaining constant focus on the design, implementation and effectiveness of the contracting process with the goal of making continuous process improvements.  Maintaining a sharp focus on client activities and requirements so as to better serve client needs.  Mentor or manage contracts team regarding contracting and negotiating skills.  Engender team spirit and align team objectives with corporate directives and objectives.   Primary Accountabilities:• Continuous focus on the design, implementation and effectiveness of the contracting process with the goal of making continuous process improvements.• Maintaining a sharp focus on client activities and requirements so as to be able to better serve client needs.  • Foster team spirit and alignment with corporate directives, objectives and processes, as well as Legal Department directives, objectives and processes.• Plan, budget and coordinate all activities with Legal Department management.  • Negotiate, draft and prepare for execution agreements for the licensing and/or support of Company Products or services for all levels (enterprise and channel sales, marketing, end-user, OEMs).  Negotiations may be conducted via telephone, electronically or face-to-face.• Obtain required approval for non-standard contractual issues through appropriate departments.• Develop new corporate agreements for product or service offerings.• Develop procedures affecting proper administration of contracts in order to fulfill contractual obligations, act as a focal point for fielding contract-based questions from all departments throughout company.• Ensure contract management database is properly maintained by Customer Service.• Coordinate activities with Legal Department counterparts in other geographies. Requirements:  (Education, Certification, Training and Experience)• Previous contract experience with a Software/Technical company is strongly preferred.• Full and complete knowledge of business law, contract construction and negotiation techniques.• Motivation and perseverance in every activity.• Responsive to clients.• Track record evidencing success in meeting client objectives in contracting.• Ability to be flexible while maintaining compliance with company policies and procedures.• Ability to communicate effectively and professionally both orally and in writing.
