Overview:

 

The individual in this position will be responsible for the evaluation and analysis of proposals for mergers, acquisitions, divestitures, joint ventures and strategic alliances. This individual will play a key role in formulating and executing the company’s business strategy with respect to such corporate development transactions, including (i) generating strategic and financial analysis to support Entropic’s medium-term plans, (ii) performing market research and analysis of complementary technologies and businesses, (iii) evaluating non-organic growth opportunities, and (iv) supporting the execution of M&A opportunities and post-transaction integration efforts.  The individual will also be intimately involved in driving the annual Strategic Long Range Planning (SLRP) process for the company.

 

Primary Responsibilities: Support team leadership in developing strategies for non-organic growth; create internal processes to effectively implement such strategiesResearch new and adjacent market opportunities, emerging technologies and complementary products or technologies; collect data on businesses that have or are pursuing such technologies and products and their competitive landscape; synthesize and evaluate the results of such research; present analysis and conclusions in oral and written reportsStructure and lead quantitative analyses and financial modeling of external growth opportunities, including mergers, acquisitions, divestitures and joint ventures; prepare market analyses and revenue and expense projections for potential opportunities; produce valuations using various valuation techniques, assumptions and sensitivities; model the financial impact of opportunities on Entropic’s current operations and forecasts; interpret the results of such models and make recommendations to facilitate decision-makingAssist in the negotiation of price and structure of M&A transactions; lead financial due diligence of all acquisition targets and revise financial models as necessary; support interface with investment banks and confirm their fairness opinion analysis; perform ad hoc financial analysis of golden parachutes, potential reductions in force, divestiture of acquired assets and liabilities; use of NOLs, and subsidiary restructuring associated with M&A activities; draft disclosures concerning M&A transactions for financial statements and documents filed with the SECAssist in integration planning; coordinate and support post-acquisition integration activitiesCoordinate efforts among various teams to ensure efficient and timely evaluation of opportunities and execution of projectsSupport the preparation of ad-hoc financial analyses and research reports, presentations for internal meetings and preparation of presentations for external use by senior managementWith support from senior management, drive the annual SLRP process

 

Qualifications: MBA; Bachelor’s degree preferably in finance/marketing or engineering3+ years experience in corporate development, strategic marketing, management consulting, investment banking or a related role responsible for complex analysis of strategic business opportunities, initiatives, mergers, acquisitions, partnerships, alliances and/or joint venturesExcellent financial modeling and valuation experience; experience building complex financial models and interpreting the resultsStrong analytical and problem solving skills, including a) market research and data gathering, b) ability to think/conceptualize independently and creatively, c) ability to build complex financial models and interpret the results, d) quality control and attention to detail, and e) business judgment and ability to synthesize, analyze and extract implicationsExcellent communications skills, both oral and written, including experience creating and making highly effective presentations to senior managementStrong organizational, project management, and execution skillsDemonstrated ability to prioritize in a fast-paced environment; ability to work effectively at all levels of an organizationMust be highly motivated, with outstanding academic credentials and professional accomplishment
