The Project Development Manager, through effective leadership and initiative, is responsible for providing quality transaction and financial services to and on behalf of Luminant that promote financial success, profitability and enhance shareholder value. Activities include effectively prospecting, screening, developing and implementing transactions and organic growth projects. In addition, ancillary responsibilities include managing and executing acquisitions(related to generation development), divestitures(related to Luminant assets), strategic partnerships and financial transactions.. Individual should negotiate financial transaction terms and conditions, commercial contracts, develop and maintain banking, credit, and industry relationships and ensure corporate governance and compliance. Significant exposure to senior level executives and external stakeholders exist.
ESSENTIAL DUTIES AND RESPONSIBILITIES include the following. Other duties may be assigned.
In this position, either directly or through others, the incumbent will:
• In coordination with the corporate and generation development executives, lead transactions that meet corporate investment guidelines as determined by executive management and approved by the board of directors, and communicate opportunities to the head of generation development
• Ability to manage all aspects of large scale generation and other development projects such as economic analysis, siting and permitting, engineering and construction
• Developing relationships with potential customers, vendors, partners and financial institutions
• Manage corporate business transactions which include the following activities:
o Manage deal or project teams from inception to close for potential transactions ranging from $50 mlln to $1 billion in value
o Direct and lead company personnel, legal counsel, and underwriters/bankers in completing desired transactions
o Present potential transactions to the appropriate senior leadership for review and approval as required per Luminant corporate governance standards.
o Lead the structuring and negotiation of $100mlln to $1 blln potential transactions with counterparties
o Communicate progress on potential transactions to the generation development executive and develop presentations and related documents for management and board of directors’ approval
o Lead approved transactions through the execution and closing process
• Capacity to analyze and mitigate corporate, commodity, financial and credit transaction risk exposures
• Financial analysis capabilities:
• Analyzes financial proposals, including complex structured transactions, from bankers and other third parties to determine economic and operational impact on Luminant and EFH.
• Ability to prepare valuation models to determine transaction feasibility and economic impacts to the enterprise
• Evaluate financial and commodity markets potential impact on the energy industry and company
• Recommend investment opportunities based on economic analysis
• Manages/leads due diligence process under demanding time pressures to ensure that information presented by executive management to investors is complete, accurate and relevant.
KNOWLEDGE/EXPERIENCE:
Minimal background and knowledge requirements:
Qualifications sought in successful candidates include the following:
• Bachelor’s degree in finance/business/law or analytic field.
• Demonstrated transaction closing capability
• At least four years of experience in a project / or business development role in the power or finance industry
• Knowledge of the power generation industry including markets, technology or transmission.
• Demonstrated capability with complex financial and project analysis (NPV, ROIC, and IRR)
• Ability to evaluate corporate, commodity and credit risk transaction implications
• Incumbent should have experience communicating and negotiating with bankers, attorneys, auditors, creditors and senior/executive management
• High comfort level interpreting and building financial statements
• Strong quantitative skills and business acumen.
• Excellent verbal, written and presentation skills
• Experience in Energy and deregulated markets (e.g., telecom, financial services)
Qualifications:
Preferred background and knowledge requirements:
• An MBA degree with direct relevant experience in the energy industry or investment banking industry
• Proven leadership and negotiating skills
• Experienced in deal structuring and proven record of effectively completing financial transactions
PHYSICAL/MENTAL DEMANDS AND WORKING CONDITIONS: This position requires the ability to perform the essential duties and responsibilities in the following environment:
• Frequent long, irregular hours.
• Use of a PC, computer terminal and/or telephone over 6 hours a day.
• Infrequent travel, occasionally overnight.
• Occasional bending, twisting, crouching, pulling, pushing, and/or reaching to access job-related materials.
• Open workspace office environment.

• Manage/lead high impact financial projects

Interpersonal Responsibility: Interacts with all levels within the organization and has frequent external contacts. Must be able to convince others with opposing views to accept/approve (i.e., government agencies, lawyers, competitors). Dealings can be in an adversarial environment.
