Job Function
Provides legal assistance to attorneys.
Job Function
· Investigates facts of cases and projects to uncover all relevant information.
· Plans, conducts, and summarizes complex legal research to identify laws, judicial decisions, and other material relevant to assigned cases and projects.
· Drafts briefs and pleadings for use by counsel.
· Obtains affidavits and abstracts depositions. Drafts interrogatories, responses to interrogatories, and responses to affidavits.
· Drafts and reviews documents in areas of specialization.
· Drafts case and project status reports, other correspondence, and reports related to projects, cases and case loads.
· Drafts, prepares and maintains basic incorporation documents and corporate maintenance records files for all UL subsidiaries.
· May provide assistance to counsel in court or in preparing employees prior to depositions.
· May assist in training other legal assistance staff.
· Performs other duties as directed.
Job Responsibilities

· Manages the use of financial, information, technological, and human resources consistent with UL strategy. Develops and communicates productivity standards and measures. Builds a network of resources. Prepares realistic budgets. Uses reports and statements to evaluate and maintain budget performance. Controls cost of services delivered.
· Directs proactive assessment of customer needs/problems. Oversees development of solutions to customer needs. Manages preventive and corrective action mechanisms to avoid and address customer issues. Uses knowledge of customers to develop proactive programs to meet current and emerging needs.
· Knows the reasons for having teams and the conditions under which they are successful. Knows under what conditions teams are an effective organizational strategy. Provides significant performance challenges for teams to form around. Provides critical resources to teams - time, information, and unequivocal support for the team effort. Defines the solution space by articulating limits of authority and other constraining factors but leaves actual solution to the team. Brings adequate levels of technical, problem solving, and interpersonal skills to the team. Responds to conflict in a constructive manner. Does own share of the real work of the team. Abides by the work rules of the team. Subordinates personal goals to the goals of the team. Understands the importance of and buys into the performance objective of the team.
· Two years of formal legal training or equivalent.
Additional Skills and Responsibilities
Position is for a Corporate Paralegal
· Conducts legal and factual research and analysis.
· Conducts due diligence reviews and document collection efforts for acquisitions, financings, divestitures, and so forth.
· Contacts outside counsel for assistance, conducts RFQs with outside counsel and handles inquiries to outside counsel regarding their invoices.
· Maintains professional growth and development through seminars, workshops, and professional affiliations to keep abreast of latest developments in areas of specialty or as requested.
· Drafts, prepares and maintains basic incorporation documents and corporate maintenance records (annual meeting documents, resolutions) for subsidiaries.
· Files state qualifications to do business, annual reports and so forth.
· Responsible for keeping database of foreign language contracts up-to-date.
· Performs miscellaneous job-related duties as assigned.
· Export Controls a PLUS.
