Compliance and Contracts Attorney

The position responsibilities encompass 2 key areas: Compliance and Contract negotiations.

 

Compliance:Responsible for the corporate licensing, regulatory and compliance status of the company.Oversee all company licensing, registration and renewal status, ensure that the company is compliant in all states with their licenses and registrations, research statues and laws.Reviews all contractual documents for protection of company's contractual posture, satisfaction of government specifications and requirements, and adherence to company policy.

·  Advises management of contractual rights and obligations and provides interpretation of terms and conditions.

Contract Negotiation:

·  Lead the preparation, negotiation, acceptance, and management of contracts.

·  Reviews and approves all contractual documents for protection of company's contractual posture, satisfaction of government specifications and requirements, and adherence to company policy.

·  Oversees the preparation and review of contracts, bids, proposals, and vendor agreements for legal correctness, price, and acceptability of items to specifications.

·  Plans, directs, and implements policies and procedures related to the organization's contract administration.

·  Aids management in developing and negotiating major proposals and drafts required contract documentation to support corporate strategic and operational objectives.

·  Monitors major contract progress and renewal or termination

Provide in-house advice and counsel on a broad range of matters relating to, but not limited to, contracts, intellectual property and information technology, corporate governance, and federal and state regulatory issues. Support business initiatives of the Company on all legal matters. Acts as mentor and coach to less senior attorneys, paralegal/staff; explains issues, ideas and concepts that are incorporated into work assignments. Maintain awareness of judicial climate, current case law decisions, skillful defense techniques and professional expertise through the review of legal publications, seminar/conference attendance.

 

The ideal candidate will have the following skills and experience:

·  Graduate level college or university program degree preferred, plus five to ten years related professional experience.

·  Legal training or degree preferred.

·  Exposure to (Sarbanes-Oxley) preferred.

·  Ability to write reports, business correspondence, and procedure manuals.

·  Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public.

·  Interactions frequently involve special skills, such as negotiating with customers or partners’ legal counsel and/or contract representatives regarding contractual/legal matters of significance to the organization. Requires the ability to change the thinking of, or gain acceptance from, others in sensitive situations, without damage to the relationship.

·  Knowledge of viatical or life settlement industry, a genuine bonus.
