We have an extraordinary talent base, and we invite you to consider ICMA-RC ' an opportunity to Reach Your Peak.Primary Objective and Purpose:The Corporate Governance Legal Assistant will work with General Counsel, Deputy General Counsel, and Manager' Legal Department to maintain accurate corporate records and documentation for ICMA-RC and its various corporate subsidiaries and affiliates. The Corporate Governance Legal Assistant must be able to work collaboratively and cooperatively with all members of the Legal Department, all levels of management and staff, and outside counsel in order to achieve results. The Corporate Governance Legal Assistant must be able to work under moderate supervision and also independently. Essential Functions: ' Prepare and update corporate action and board action calendars for all ICMA-RC corporate entities;' Prepare, review, and revise board materials for corporate boards of directors;' Update, review, and maintain corporate records for all ICMA-RC entities;' Draft, review, and revise corporate resolutions and certificates;' Conduct legal and factual research;' Maintain Corporate Library;' Track and maintain table of all corporate actions; and' Track and maintain information relating to all officers and directors of ICMA-RC entities.For your well-being, we offer an exceptional compensation and benefits package that features a highly competitive salary, a 401(k) Plan with a potential employer contribution of 10% per year, annual bonus opportunities for all Associates, and a conveniently located, welcoming, business casual workplace. Degree or equivalent related experience.' 3 to 5 years of experience in Corporate Legal in either corporate or law firm setting. ' General knowledge of various corporate documents (e.g minutes, consents and agreements) and the purpose of these documents.' Excellent proofreading skills' Excellent writing skills.'
