Corporate Attorney - Assistant House Counsel

Rapidly growing company that designs, markets and manages association membership programs and health insurance products is seeking a well-rounded attorney to work with Chief Legal Officer with experience in the following areas:General corporate and business transactionsInsurance regulation and unfair trade practicesVendor and provider service contractsLicensing and subscription agreementsEmployment agreements, agent contracts and restrictive covenantsCompensation plansPrivate debt/equity transactions

Position reports directly to the Chief Legal Officer, with duties that would include:Advising senior executives on various legal mattersDeveloping form documents related to employment and executive compensation, competition and solicitation restrictions, licensing and protection of confidential information, trade secrets and intellectual property.Review and comment on documents related to corporate organization, capitalization and control, re-incorporation, re-capitalizations, joint ventures, corporate financing, mergers and acquisitions, buy-outs, spin-offs, etc.Legal research, tracking insurance legislation, regulation and enforcement, keeping abreast of development of legal theories in case law and agency rulings; implementing and monitoring compliance measures; drafting responses to regulatory complaints/inquiries/investigations by State Insurance Commissioner and Attorneys General offices.Preparing and responding to due diligence requests related to insurance underwriting, corporate financings, etc.

Skills/Qualifications:

Candidate needs to have solid credentials, intellectual horsepower, the ability to learn quickly and deal with a fast-paced and rapidly changing environment, and strong conceptual/organizational skills.  Must be capable of clear and concise verbal and written communication and have excellent drafting abilities.  Member of Florida Bar with 5 -7 yrs in practice and significant large firm experience preferred.
