Contracts Manager
CONTRACTS MANAGERNewark, NJUnder supervision of the Assistant General Counsel managing the corporate law group, the Contracts Manager will work with our in-house legal department and internal clients to develop, negotiate, draft and administer (both pre- and post-execution) all types of vendor and supplier contractual agreements. This individual will also be responsible for providing support at the request of the Assistant General Counsel for other aspects of the company’s commercial legal affairs. Responsibilities will include: Structuring, preparing, reviewing and negotiating proposed contracts; form agreements and other legal instruments, including master agreements, licenses, service agreements, maintenance agreements, supplier agreements, statements of work, nondisclosure agreements, and other commercial agreements. Negotiating and documenting commercial contractual transactions with external vendors. Collaborating with an interdisciplinary team (including business divisions, IT, supplier management, finance) to ensure that necessary contractual requirements are established and met. Advising clients and legal management of potential risks and opportunities, and working with internal counsel on related legal matters. Providing advice and communicating company policies to clients with respect to contractual transactions. Assisting clients in articulating and obtaining approvals for commercial transactions. Assisting attorneys in negotiating complex nonstandard agreements. Supporting and leading the continuous improvement of standard forms of agreement and contract administration processes. Providing training on contracting strategies and processes. Ensuring maintenance of contractual documents, files, correspondence, logs, meeting minutes, etc. Assisting on other corporate legal projects as requested. To qualify, you must possess a bachelor's degree in pre-law, business, English or other relevant field. JD or Paralegal Certificate helpful, however not required. A minimum 5+ years experience negotiating and drafting commercial contracts, preferably within the areas of IT licensing, maintenance and support services and/or insurance, is required. Superior oral and written communication skills and strong proficiency with computers (MS Office) are neccessary.
