Corporate and Securities Paralegal General job responsibilities include:   drafting and filing documents for domestic subsidiaries, including charter documents, by-laws, resolutions and foreign qualifications and preparing annual reports and annual franchise tax reports;   assisting in matters related to board and board committee meetings, including the preparation and assembly of materials in advance of meetings and drafting resolutions;  maintaining corporate entity database and compliance calendar to track corporate filings, deadlines, renewal periods etc. for multiple jurisdictions;  monitoring and maintaining updates to corporate governance and other internal policies;  preparing and filing Section 16 insider and other reports with the SEC; and  assisting legal department with special projects on an as-needed basis.   Qualified candidates should have 3+ years’ corporate experience.  Prior in-house experience with a public company, and experience with regulatory filings and corporate minute books required. Education: 4-year bachelor’s degree or paralegal certificate
