Summary
The Society for Human Resource Management’s Legal Department develops and implements efficient legal practices for the Society and its subsidiaries, and to the extent requested, also for its affiliates (SHRM Foundation and HRCI). The Legal Department provides senior management counsel on corporate strategic and tactical legal initiatives, manages the legal function of the Company, oversees outside counsel, and is responsible for Company compliance with applicable laws and regulations. As part of the Legal Department, the Associate Counsel will provide advice and counsel on a broad range of legal and strategic issues critical to the organization’s goals, with a special focus on association law, contracts, employment law, intellectual property, publishing and internet law, and tax.
Essential Duties and Responsibilities
Provide legal advice and services for the Company and its subsidiaries and affiliates involving intellectual property issues including but not limited to copyright, trademark, right of privacy/publicity and entertainment, publishing, and related matters.
Provide counsel on corporate and strategic initiatives, complex business transactions and potential partnerships.
Provide counsel on Employment law, immigration law, tax (both federal tax exemption and UBI issues, and state and local tax issues), Pension/ERISA, Insurance, Ethics/Member Discipline, Defamation/Publishing/Disclaimers, Internet/website, Antitrust as applied to associations, Lobbying compliance, (federal and state), Chapter relations, and Record retention.
Provide counsel on tax, licensing, and corporate structure for operations in China, India and other foreign countries.
Manage litigation with assistance from outside counsel.
Draft and negotiate a variety of agreements (including purchase and sale agreements, license agreements, confidentiality agreements, strategic alliances, consulting agreements, vendor agreements, software and other rights-related agreements. etc.). Oversee contract control process.
Develop and Oversee Corporate Compliance Programs.
Assess proposed transactions and develop deal structures to minimize legal and business risks.
Handle employee-related matters in conjunction with the Human Resources Department.
Handle legal questions from internal and external stakeholders in an efficient, professional and timely manner.
Attend conferences and board meetings, as may be needed.
Report to the General Counsel. Work with General Counsel on the above matters as necessary based on experience of Associate Counsel in particular area and size of matter involved.

Partially responsible for supervising paralegal / administrator.
Education and /or Experience
J.D. degree from an accredited college/university. A minimum of 3 to 6 years of law firm and/or corporate/association or government experience is required. Some law firm experience preferredExperience in employment law, intellectual property, or tax law is preferred A member in good standing of a Bar of one of the 50 states or the District of ColumbiaAbility to handle a broad range of legal matters Must exercise good judgment, common sense, show initiative, and handle sensitive and confidential data in a trustworthy manner Strong organizational skills and ability to work independently Discretion, maturity and composure – especially under pressure Ability to establish priorities and handle numerous assignments at once High standards and strong sense of responsibility and honesty Able to foster a cooperative work environment Excellent interpersonal and communication skills; ability to instill confidence in those with whom you workAbility to work with flexibility, efficiency, enthusiasm, and diplomacy both individually and as part of a team effort
