CORPORATE PARALEGAL

Nationally renowned big Downtown firm seeks a CORPORATE PARALEGAL.  Exceptional opportunity for someone with a stable work history and a minimum 3 solid years in a general corporate practice with public and private company experience. 

Requirements: 

-Familiarity with SEC Form D filings.

- Experience interfacing with clients.

- Understand the different tasks a paralegal has during an M&A transaction.

- Know the core documents of a corporate transaction (i.e., disclosure schedule, officers certificate, stock purchase agrmt, asset purchase agreement, merger agreement, LLC Operating Agreement). 

- Desire and ability to work over-time
