General Counsel

Voyager Group, www.voyagergrp.com, a private equity firm which owns and operates businesses in real estate development, construction, private aviation, software, and technology services is seeking an experienced General Counsel to join its management team.

 

This position will be responsible for the management of all legal support to Voyager Group, with particular focus on Transactional Activities, Vendor & Customer Contracts, Intellectual Property, Litigation, and Regulatory Compliance.

 

Primary Duties:

 

v Provide leadership and expertise on legal matters to Executive Management and Business Leaders as it pertains to Company strategies and their implementation

v Participate in the selection, retaining, managing and evaluating  outside counsel

v Assume ultimate responsibility for ensuring that the Company conducts its business in compliance with applicable laws and regulations

v Participate in the planning and execution of external financing transactions including opportunities for government funding and financing

v Completes special projects including due diligence analysis, acquisition and divestiture analysis, and preparation of legal documentation and ad-hoc reports for senior management

v Proactively participate in the preparation and review of legal documentation and filings required in the ordinary course of business including; organizational documents, contracts, annual filings, employment agreements, leases, purchase and sales agreements, real estate filings, etc.

v Prepare and deliver presentations for Executive Management, investors and bankers

 

Qualifications:

 

v J. D. from an ABA-accredited law school and a member in good standing with the state bar association

v A minimum of 10 years professional experience with a law firm or corporate legal department. A combination of law firm and in-house experience is preferred

v Candidate must possess strong interpersonal skills, excellent verbal and written communications, and a proven ability to excel in a fast-paced environment working with multiple customers under tight deadlines

v A customer service orientation and an ability to appropriately weigh legal and business risks are also required

v Ability to work with minimal supervision in a collaborative fashion with internal business clients and external counsel
