Position Overview

The Corporate Paralegal will be a key contributor to LeapFrog’s close-knit team of attorneys and legal professionals. The Corporate Paralegal’s primary responsibility will be to assist and support LeapFrog’s General Counsel and Corporate Counsel with securities compliance and corporate governance matters. This position will also provide assistance and support to LeapFrog’s patent and litigation attorneys with regards to the maintenance and tracking of LeapFrog’s patent filings and when required, coordination of document production for litigation matters. The right candidate must be reliable, detail oriented, flexible, adept at managing and completing several simultaneous projects under deadline pressure, and willing to learn new skills.

Essential Duties & Responsibilities

· Securities Compliance: Assist in the preparation and filing of 1934 Act filings with the SEC, including Forms 10-Q, 10-K, 8-K and S-8, and significant responsibility for the proxy statement and director and officer questionnaires. Complete other filings as required to ensure compliance with federal securities laws, Delaware corporation Law, Sarbanes Oxley and NYSE rules and regulations.

· Corporate Governance: Manage LeapFrog’s board of directors package preparation and distribution process. Prepare resolutions and assist in other matters related to the board and its meetings, including drafting meeting minutes and ensuring compliance with board committee charters. Work with LeapFrog’s transfer agent and prepare documents for the annual meeting of stockholders. Monitor and facilitate updates to LeapFrog’s corporate governance webpage. Monitor and maintain updates to corporate governance guidelines and policies, such as the insider trading policy. Maintain the good standing of LeapFrog’s foreign subsidiaries by completing required corporate governance and regulatory filings and actions.

· Patent and Litigation Assistance: Assist with the tracking of LeapFrog’s worldwide patent registrations and filings, including working with LeapFrog inventors to assist in the filing of new patent applications. When required, coordinate document production for litigation matters.

· Contracts and Document Management: Work with the Legal Department’s Contract Administrator on the drafting of non-disclosure, independent contractor and other business contracts as required. Oversee and administer the Legal Department’s document management process including on-site filing and off-site storage of the department’s contracts and documents.

Position Qualifications:

3 to 5+ years experience working as a corporate paralegal, preferably in an in-house setting for a portion of that time, with some patent/litigation experience preferred, but not required.
BA/BS degree preferred; or equivalent experience with excellent academic credentials.

Skills & Competencies:

· Strong corporate governance and corporate filing skills and experience
· Effective organizational skills and attention to detail
· Strong communication skills, written and oral
· Above-average proficiency with MS Word, MS Outlook, MS Excel and Adobe Acrobat
· Familiarity with Hummingbird DM document management software is a plus
· Team player
· Positive attitude and ability to take initiative
