Senior Attorney, Americas

Red Hat has an immediate opportunity for a talented attorney to lead our Americas commercial legal function. The ideal candidate will have the personality and presence to thrive in a fast paced environment, characterized by rapid business growth and a changing technology and business landscape. This position requires significant interaction with the highest levels of executive management and sophisticated business clients. The attorney will be responsible for supporting the Red Hat sales force in structuring and closing transactions, providing strategic direction to sales teams and managers, interacting with Red Hat's finance and product management/marketing teams to develop product offerings, defining legal strategies and managing the Americas commercial legal function. The attorney will be based in Raleigh, North Carolina (will relocate the right candidate).Major responsibilities will include:Structuring and negotiating agreements for sales (both direct and channel), marketing, consulting and product support activities; preparing, revising and maintaining standard forms of agreement across US, Canada, Mexico and Latin America, including Open Source Software subscription agreements, reseller and distribution agreements, OEM Agreements, etc.Assisting in the development of new Red Hat products and programs; providing legal support necessary to develop and implement new customer and partner programs and initiatives, as well as new business models (including in emerging markets);Directing overall compliance, including training internal clients on legal and contracting policies and issues.Serving as a central point of contact for legal, intellectual property and policy issues for Red Hat executives.Defining and executing on legal strategies that support Red Hat’s business initiatives. Managing the Americas commercial legal team, outside counsel and budget. Qualifications:JD degree with excellent academic credentials.10-15 years experience as an attorney, including substantial commercial transactional experience. Excellent communication skills.Strong management skills with appropriate level of management experience. Excellent analytical, cross-group collaboration and communication skills.A track record of consistently delivering results.A strong drive to deliver quality results in a very busy and constantly changing environment. Strong analytical, negotiation, and drafting skills.Extensive knowledge of contract law and experience drafting and negotiating contracts for software and technology.Experience in working with clients and structuring complex, high-value, multi-jurisdictional transactions.Exceptional organizational skills with the ability to manage multiple simultaneous projects under deadline pressure.Ability to work independently with minimal supervision and ability to work and contribute in a collegial team situation.Ability to work with a variety of personalities and a desire to be part of a regional and worldwide team.Familiarity and experience with high-tech industry strongly preferred.Ability to represent Red Hat effectively in a variety of public settings.EOE/M/F/D/V
