Altria Client Services is seeking a Senior Legal Analyst in Richmond, VA for the group within the Law Department that supports certain other Altria Client Services functions, including Business Development and Planning, Finance/Treasury and Investor Relations. A successful candidate will provide moderately complex legal support services and analysis to attorneys and business clients including drafting and reviewing transactional and governance documents, reviewing business documents and communications, researching issues, and interacting with outside counsel on transactional mechanics. Additional accountabilities include: Determine and gather factual information needed by attorneys and clients relative to legal issues and corporate transactions including assisting in due diligence related to financings and mergers & acquisitions. Conduct moderate to complex research to assist attorneys in considering legal issues. Independently review and responds to clients on matters not requiring legal advice (consult with attorneys on any matter requiring legal advice). Draft or assist in drafting contracts, transactional documents, corporate resolutions and other legal documents related to governance matters and corporate transactions such as, mergers and acquisitions and financings. Assist in maintaining corporate books and records. Coordinate and manage mechanics and logistics related to corporate transactions. Maintain archives of precedent and corporate and securities documentation.QualificationsRequired Skills and Experience:" Bachelor's degree" 5+ years experience in corporate governance and corporate transactions, such as mergers and acquisitions, public debt and equity offerings and bank financings " Working knowledge and application of advanced concepts, practices, and procedures of legal analysis" Ability to think critically about the interplay between business proposals and existing legal and business infrastructure" Ability to use independent discretion and judgment with respect to matters of significance that are often cross-functional in nature" Excellent written and verbal communication skills" Advanced computer skills, particularly with Excel and PowerPoint" Ability to interact at all levels within and outside of the company" Ability to maintain confidentiality, prioritize multiple tasks, and execute properly and efficiently" Ability to work independently and make decisions in the absence of managementBenefitsIn addition to the opportunity to apply your skills toward these key business initiatives, we offer an excellent compensation package including a competitive base salary, comprehensive health/vision/dental insurance, relocation, incentive compensation and participation in our deferred profit sharing.To apply for this position, please click here
