Corporex is the largest locally owned commercial real estate developer in Greater Cincinnati and has developed over $1.1 billion in assets.  The company employs approximately 3,400 people, including the employees of affiliates in the Five Seasons area, and Commonwealth Hotels owned by Corporex.  With offices in Cincinnati, Denver, Boston and Orlando, Corporex is a dynamic, aggressive organization with an entrepreneurial attitude, a disciplined approach to development and investment, and a hands-on style to completing quality projects.  Headquartered in Northern Kentucky in the Greater Cincinnati area, Corporex boasts cutting edge concepts that have now been embraced by other companies nationwide. The Vice President of Corporate Council serves as a key member of the executive management team, who acts as a senior advisor to the CEO, President, executive management, and Board of Directors.Responsibilities:Provide proactive and strategic legal and compliance advice on all matters relating to the operations and affairs of the Company’s business. Work closely with CEO and Presidents to advance the strategic direction of the Company and to negotiate and structure complex transactions and agreements. Lead legal due-diligence efforts on acquisition and divestiture opportunities. Work in partnership with and provide legal advice to the CFO relative to periodic reports on Forms 10K an 10Q and in interactions with Company’s external auditors. Manage SEC compliance, including continuing and proactive compliance with Sarbanes-Oxley. Provide legal guidance and advice on public financing transactions and on matters related to investor relations, financial institutions, public financing transactions, and analysts. Serve as Chief Compliance Officer of the company on all matters relating to corporate governance. Manage intellectual property matters, including confidentiality agreements.Direct litigation efforts and manage outside counsel and internal legal team as needed. Direct settlement discussions and negotiations.Advise human resource representatives regarding policies and procedures for employee hiring, termination, confidentiality and retention of inventions. Review and amend existing policies procedures in accordance with legislative developments.Educational Background and Experience  Requires JD and admission to the bar in at least one state in good standing, preferably Kentucky or ability to be admitted in Kentucky on reciprocity basis.Ideal candidate will possess a minimum of 10 years of related experience, strongly preferred to be within the real estate, property management, or hospitality industries.Requires significant experience in successfully managing public financing transactions, corporate governance and SEC compliance aspects of a publicly traded business (Sarbanes-Oxley, etc.) and negotiated and completed numerous complex transactions.Highly organized and disciplined thinker, planner, advisor and implementer with solid business acumen, superior judgment and management capabilities. Strong technical, analytical and problem solving skills. Exceptional oral and written communications skills and proven attention to detail. Results-oriented approach with strong focus on execution. The candidate will also exude innate credibility and the ability to appropriately represent the company to internal and external stakeholders alike.
