Associate Counsel

The Associate Counsel is responsible for aiding with the negotiation, preparation and drafting of legal documents and providing advice and guidance to the company regarding legal rights and obligations, as well as other legal and commercial duties related to the Company’s operations in North and South America as assigned by General Counsel.

1. Corporate and Commercial Transactions
• Negotiate and draft sales agreements
• Negotiate and draft lease agreements, including assignments.
• Resolve contract disputes with various customers, vendors and distributors
• Draft non-disclosure agreements to be executed between the Company and outside parties.
• Prepare distributor agreements and address any conflicts with various distributor companies.
2. Litigation Support and Management.
• Assist Company to minimize the impact of litigation on the business, including internal discovery, investigations, organization of files, and coordination of outside counsel to achieve positive litigation results.
• Work with outside counsel to safeguard the company’s interests, and assist managing outside counsel.
3. General Corporate Counseling. Work with in house attorneys, managers and employees across business divisions on a variety of business and legal matters. Assist in ensuring Company compliance with internal policies and procedures and other risk management related issues.
4. Corporate Governance
• Draft, amend and revise necessary corporate documents, including the Company’s minutes and corporate resolutions.
• Maintain corporate state filings in applicable jurisdictions.
• Maintain corporate books for Aristocrat companies.
• Draft, execute and manage all required Stockholder and Board of Directors consents.
5. Human Resources
• Provide support to the Human Resource department on employment law and related personnel matters.
• Draft policies, employment agreements and independent contractor consulting agreements.
6. Gaming Regulatory Compliance.
• Support internal client groups by providing assistance to fulfill regulatory compliance requirements.
• Promote a corporate culture of compliance with legal and regulatory requirments.
7. Legal Research. Research legal questions as required
8. Special Projects. Assist in special projects as required.
9. Other Duties. Assist internal client groups with their stated goals and objectives, and perform other functions as assigned by the General Counsel.
10. General Employee Responsibilities. All employees are responsible for their personal safety and the safety of others. Therefore, all employees must:
• Participate fully in Company health and safety programs and comply with all company OSHA policies and procedures.
• Follow all lawful employer safety and health rules.
• Wear and/or use Personal Protective Equipment, when and how instructed.
• Report hazardous conditions to management.
• Report any job-related injury or illness to management, and seek treatment promptly.


Education: Juris Doctorate from accredited U.S. law school required (or experience with U.S. law firm if educational degree is from overseas).

Experience: Requires zero to three years experience with a law firm or in-house legal department. Experience working in the gaming industry preferred but not required. Spanish writing and verbal skills and/or experience with Latin American jurisdictions helpful.

Skills, knowledge, and qualifications: Excellent English writing and verbal skills. Must be able to communicate thoughts clearly and concisely. Nevada State Bar license or eligibility under the in-house counsel waiver program with the Nevada State Bar preferred. License to practice law is required in at least one jurisdiction for eligibility. In case of recent law school graduates, Company may waive bar license requirement on the condition of passage of the State Bar or receipt of a license to practice law within an applicable jurisdiction within one (1) year of graduation. Eligibility of various applicable regulatory licenses as it relates to the gaming industry is required. Passage of a background check is required.

This position may require registration with the Nevada Gaming Control Board (NGCB) and/or other gaming jurisdictions in which we operate.
