Corporate Governance/SEC Disclosure Attorney

Pall Corporation's Global Legal department consists of the General Counsel, responsible for Pall's worldwide affairs; a Corporate Counsel/Corporate Secretary, responsible for corporate governance and all legal aspects of acquisitions, commercial contracts and other complex transactions; an IP Counsel, responsible for all intellectual property issues and related litigation; A Regional Counsel in each of Asia and Europe; and 4 staff attorneys in the areas of corporate governance, contracts and IP.

 

This position will serve as Assistant Corporate Secretary and Staff Attorney in the US legal department at Pall Corporation's corporate headquarters in Long Island, NY reporting to the Corporate Counsel/Corporate Secretary.

 

Advise on matters relating to corporate governance and perform duties of assistant corporate secretary including:

- SEC and NYSE Reporting - Advise regarding and assist in preparing SEC and NYSE filings, including disclosure and '34 Act reporting, including Forms 10-K, 10-Q, 8K and Section 16 filings.

- Shareholder Meetings - Assist Corporate Secretary and staff attorney in preparation for annual meeting of shareholders, including preparation of proxy statements.

- Board and Committee Meetings - Assist Corporate Secretary and staff attorney in managing board operations and coordinating matters relating to board of directors and committee meetings.

- Other projects - Perform other projects and duties as assigned, including assisting Corporate Secretary and staff attorney with development of corporate policies and procedures related to corporate governance monitoring developments, trends and best practices in corporate governance, maintenance of corporate records; assessment, disclosure and reporting of directors' independence, expertise, and qualifications; assist with legal reviews of corporate communications, including earnings releases and other public announcements.

 

Candidates must possess:

- Strong knowledge of securities and NYSE laws, regulations and reporting requirements.

- JD Degree from an accredited law school, excellent academic credentials.

- Licensed to proactive law in New York State.

- Minimum 3 years professional experience in securities law with major law firm.

- Strong drafting and communications skills

- Proficiency with MS Word, Excel, PowerPoint a plus.
