JOB SUMMARY: The incumbent is responsible for day-to-day administration and communication of the Hill-Rom equity compensation programs, and will interact frequently with Finance, Legal, and our external stock administration service (Fidelity) in the administration of programs. This role will support our broad based restricted stock program, stock options, and performance based restricted stock program, including support of the annual grant equity process, employee stock purchase program, and deferral process. Reports to the Director of Compensation and works closely with Finance, Legal, Tax, and Audit Associates.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
Serve as the lead for Stock based compensation communication to Hill-Rom Company (“HRC”) associates. Direct and/or answer associate questions and assist associates in navigating the Fidelity web-site. Communicate information regarding awards, exercise approvals, black out dates, limit orders, and 10b5-1 processes. Coordinate Form 4 filing responsibilities with Legal. Administer the annual equity grant process and work with HRC leadership to develop annual award proposals that support the HRC compensation philosophy. With the Compensation Director, develop presentation materials for the CMDC of the Board of Directors for award approval. Create and distribute equity award notifications and agreements. Administer the deferral process.Develop and run stock-based compensation reports as needed. With Finance and Legal, pull necessary reports from Fidelity web-site to support equity related accounting, tax and reporting requirements.With the Compensation Director, maintain and manage working relationship with Fidelity, as well as interact regularly with Fidelity support team and customer service representatives.With the Compensation Director, assist in drafting materials for reporting to the Board of Directors, including materials related to proxy statement, grant guidelines, annual awards, and holding requirements.Conduct educational training for associates and Human Resources to familiarize them with the basics of equity compensation, including training and coordination of compensation initiatives with international HR associates.Attend training and stay up to date on legal and accounting changes related to Stock based compensation. Other duties may be assigned.
EDUCATION AND/OR EXPERIENCE REQUIRED:
High school diploma required, Associates or Bachelors degree preferred.3+ years of experience in stock plan administration or related experience in finance, accounting, or compensation management. Proven analytical skills.Strong communication skills when working with all levels of organization.Willing to take on responsibility and to deliver high level of service.Advance MS office skills, primarily Excel.
