Corporate Counsel
Job Description:The purpose of this position is to provide for a corporate attorney who will be able to take on substantive responsibility for selected areas of in-house legal representation at CV Therapeutics (“CVT�) and to work closely in coordination with CVT’s Vice President Legal, Licensing and Contracts (“VP Legal�), other in-house legal staff, outside counsel, and multiple client groups within CVT. Particular practice areas that are required or desired are noted below.Essential functional duties of the position:The candidate should be able to draft and negotiate a variety of contract documents with minimal supervision and should have very strong general contracting skills. The ideal candidate will have experience with business development transactions in the life sciences technology sector, such as technology licenses, complex collaboration arrangements and related funding transactions (e.g., equity investments, loans etc.) The ideal candidate will also have some familiarity with at least some of the types of agreements that are commonly used by biotechnology and drug development companies, such as research agreements, material transfer agreements, clinical study agreements, and manufacturing agreements, as well as other standard business-related contracts such as vendor agreements.This attorney in this position work closely with above-identified VP Legal in support of CVT’s business development activities. The attorney will also serve as the second attorney (along with the VP Legal) in the company’s contract group, which also includes a senior contracts paralegal and a contracts coordinator (both of whom report to the VP Legal). Business development work: The attorney will work closely with the VP Legal to assist with, or serve as lead attorney on, business development activities and transactions, including legal due diligence, contract analyses, business term sheets, and the drafting and negotiation of a wide range of technology licenses and collaboration agreements. The attorney will need to partner effectively with business development and other key CVT stakeholders, including research, development and finance personnel, to obtain necessary information and resolve internal disconnects, conduct legal analysis, provide strategic advice, integrate the information into an agreement or other type of document as applicable, participate in negotiation of the agreement as necessary and take a proactive role in driving the project to completion.The work will involve close working relationships with the members of functional business groups within the company, including senior management, so that the attorney can assess client needs and goals, provide strategic advice, structure appropriate legal arrangements, draft and negotiate agreements, and advise the client on “deal maintenance�.Contracting group: The attorney will work closely with the VP Legal to take over day-to-day responsibility for a wide variety of contract needs at CVT, based on the attorney’s increasing experience and familiarity with CVT and the growing contracting needs at the company. The attorney will provide guidance to the senior corporate paralegal in the drafting and finalization of agreements generated using the company’s standard forms (including CDAs, research agreements and MTA’s, consulting and vendor agreements, and clinical agreements).The attorney will work closely with the VP Legal, other legal staff and personnel throughout the company to increase his or her working understanding of company’s business/operations and relevant legal aspects, to integrate legal and business knowledge and provide effective and balanced legal advice in a fast-paced in-house environment.

Job Experience:The candidate must have strong verbal and written communication skills, including the ability to communicate concisely to clients, to integrate legal advice and business knowledge, and to provide balanced and effective advice regarding risks and benefits. Over time the attorney will be asked to become involved in and take over responsibility for an increasing range of matters in both volume and complexity. This attorney will work closely with in-house and outside counsel. The ideal candidate will be comfortable working as a legal generalist, with strong support from other in-house and outside counsel, and will be interested in learning new legal and business areas and taking on and managing multiple areas of responsibility over time.Specific Knowledge/Skill Requirements:• A JD degree is required for this position. It is also required that the candidate be licensed to practice law in California or be registered as in-house counsel• The candidate should have 3 to 8 years’ experience in a private practice and/or equivalent corporate setting, with a preferred emphasis on representation or biopharmaceutical and health sciences clients in technology transactions. While not required, it would be desirable for the candidate to have some experience with funding arrangements in business development transactions (e.g., equity, loans, etc.).• The candidate should have very strong general contracting skills (drafting and negotiation). While not required, it would be desirable for the candidate to have some experience with clinical contracting, such as clinical trial and informed consent agreements.• The candidate should have strong verbal and written communication skills, including the ability to communicate concisely to clients.• The candidate should have strong legal analysis skills, be adept at integrating legal advice and business knowledge, and above to provide balanced advice regarding risks and benefits.• The candidate should have at least a working knowledge of intellectual property, and in particular, patents and trade secrets• The candidate must have excellent judgment.• The candidate must represent the Legal department in a credible and professional fashion.• The candidate should have excellent interpersonal abilities including maturity, creativity and a high energy level.To apply please go to https://www.cvt.apply2jobs.comMinimum Education Required: DoctoralYears of Experience Required: 3-5 Years
