Description: * Assist in the preparation and dissemination of confidential and sensitive documents for Board of Directors and executive management. * Assist in preparation and dissemination of various State and Department of Revenue documents required for maintaining the appropriate standing of companies in the appropriate jurisdictions; coordinate with outside service providers regarding filings. * Communicate with Board of Directors in era of heightened standards. * Maintain permanent corporate files such as Board of Directors' meeting minutes, information supporting SEC filings, etc. * Manage and coordinate logistics (i.e. travel, lodging and scheduling, security access) surrounding meetings of the Board of Directors, committees and subsidiaries, (including logistics for outside experts, attorneys and executive management). * Manage and coordinate board and committee meeting room logistics (i.e. room reservations, refreshments, snacks) * Respond to requests that require a detailed knowledge of corporate secretary organization procedures and the collection of information and preparation of documents from the corporate secretary records and files. * Assist department paralegal and specialist with maintenance of corporate secretary database. * Prepare expense report and process invoices and monthly corporate credit card statements for internal and external parties. * Perform general secretarial duties such as planning/scheduling of meetings, travel and appointments for his/her immediate supervisor.Qualifications: * High school diploma or equivalent and 5+ years of secretarial experience in preferably the following areas: Corporate Secretary, Corporate Governance, Legal or Compliance. * Excellent MSWord, Excel, PowerPoint and other information-oriented computer applications skills required. * Ability to work with highly confidential information and within designated deadlines. * Ability to work with minimal supervision and interface effectively with all levels of employees, including executive management. * Skill in coordinating and organizing complex tasks and projects. * Ability to perform multiple tasks simultaneously, effectively prioritize and work in a fast-paced environment. * Excellent oral and written communication skills; acute attention to detail.
