Assistant Treasurer

Seeking director level associate to lead the treasury, risk management, and investor relations functions for J.Crew Group. The position reports to the VP of Financial Planning and will have 2 direct reports in the target organizational structure. The following highlights the requirements in three key areas: (1) Treasury, (2) Risk Management, and (3) Investor Relations:

 

1. Treasury

Ø Relationship Management (Back-Up to VP Financial Planning and CFO)

· Back-up VP Financial Planning and CFO on key IB and commercial bank relationships

· Primary responsibility for commercial bank relationships at Co-agent level and below

· Primary responsibility for all other financial providers

· Primary contact for external IR firm

 

Ø Treasury Operations

Overall management responsibility for business process improvement for cash management, debt compliance/management, and interest expense planning. The key activities include:

· Cash management/ Cash forecasting

· Short Term cash flow model

· Debt compliance/ monitoring

· Third party credit card processing/ operations/ management

· Interest expense budget and forecasting

· Treasury group budget and forecasting

 

Ø Financings & Transactions

Work with VP Financial Planning and CFO on all debt, equity, M&A financings and transactions. Key recent activity and potential go-forward activity TBD include:

· Term Loan Refinancing 6/06

· ABL Refinancing 3/07

· HSBC Demand Line 10/07

· Equity Offerings 6/06, 1/07, 10/07 (pvt placement)

· Potential Currency Risk Hedging – TBD

· RE Financing Strategy - TBD

 

Ø Trade Finance

Manage key trade finance initiatives and relationships:

· Project manager for transition to open account from current LC process

· Manage relationships with open account providers: Citi and HSBC

· Evaluate and refine trade finance strategies going forward

 

Ø Financing Strategy/ Policy

Lead process to evaluate and determine targeted capital structure and key financing strategies, to include:

· Capital structure strategy

· Use of cash strategies

· Debt pay-down strategies

· Share re-purchase strategies

· Dividend policy

· FX strategies

· Cash investment strategies/ polices

· Real estate financing strategies

· Long Range Plan development for Treasury Dept. and capital structure

 

2. Risk Management

Ø Evaluate and determine risk management/ insurance instrument strategy

Ø Manage relationships with insurance providers

Ø Determine financial impact and alternatives for insurance strategies

 

3. Investor Relations

Ø Lead process for quarterly earnings call preparation

Ø Manage development and tracking of all financial guidance provided to Wall Street/ externally

Ø Manage/ leverage relationship with external IR firm

Ø Supervise and coordinate the preparation of all investor presentations

Ø Develop strategy for communicating with key investors (who we meet with, how often, scope of discussions, etc.)

Ø With CFO, set schedule for: (1) investor conference participation, (2) key investor meetings, (3) sell-side analyst meetings

Ø Back-up CFO in interfacing with sell-side analyst community

 

4. Qualifications

Ø Banking or corporate treasury background

Ø 7-10 years experience in corporate finance or capital markets

Ø Ability to manage external relationships independently and reliably

Ø Sound financial and capital markets skills/ knowledge

Ø Sound cash flow modeling and analytical skills

Ø Sound cash management and risk management knowledge

Ø Desire to work in a dynamic corporate setting

Ø CPA/ MBA a plus
