For more information, visit dayzim.com.TITLE: Contract Manager Posting NC50133533POSITION SUMMARY:To identify and mitigate business and legal risks by the modification and negotiation of Yoh’s contracts with its external clients . To advise senior management on business and legal risks. To communicate, implement and ensure compliance of the risk management policies. The reason for this function is to minimize the risk of loss of the corporate assets while ensuring that Yoh - our internal customer - is able to win the work and achieve the appropriate risk/reward balance.ESSENTIAL DUTIES & RESPONSIBILITIES:1. Review, analyze and accurately interpret external clients' contractual documents and develop any necessary modifications to the contract language. Ensure that final contract terms and conditions comply with corporate risk management policies.2. Negotiate contractual risk issues to adequately address any concerns regarding corporate risk policies. Use knowledge of contract law and staffing industry to influence favorable outcome of contract negotiation.3. Advise company on the potential legal and business risks associated with contract language that does not comply with corporate risk management policy or Yoh’s goals and objectives. Upon Yoh’s willingness to accept such nonconforming risks, advise Regional President, COO or CEO, where applicable, as to these risks for their determination to proceed with executing the contract.4. Develop and draft memorandums to advise appropriate senior management of any contract language that deviates from established corporate risk management policies to confirm agreement to deviate from standard risk policies.5. Review, modify and evaluate insurance requirements for all contracts. Advise company of any client insurance requirements that are not consistent with corporate insurance program. Consult with corporate insurance broker to determine the availability of project specific policies and to review the adequacy of client’s OCIP program.6. Develop training materials and train personnel regarding contract risk management issues and compliance with corporate risk policy.7. Counsel operations personnel regarding contract interpretation after execution of contract to assist with operations in the field and draft contract amendments, where appropriate.8. Responsible for assuring that contractual commitments are fulfilled in accordance with Company ethics and compliance standards; conducting all other business dealings in accordance with those same standards; and avoiding conflicts of interest.KNOWLEDGE SKILLS & ABILITIES:1. Effective verbal and written communication skills.2. Negotiating and contract drafting skills.3. Analytical and reasoning skills.4. Proven knowledge and understanding of US contract law, insurance industry and staffing industry.5. Excellent interpersonal skills and past experience dealing with multiple external and internal clients.Bachelors degree in Risk Management, Contract Law or related field. (Law degree preferred)6 to 8 years experience drafting, reviewing, revising and negotiating contracts.Ability to be proactive and reach out to internal and external customers and to build good relationships as a partner and not an adversary.Excellent speaking, writing and technical computer skills.Experience with staffing industry contracts preferred
