Chief Financial Officer (CFO)
THE Position: Chief Financial Officer
THE COMPANY: an expanding innovative wireless company located in Boulder Colorado is looking for an experienced Chief Financial Officer to assist in managing this rapidly growing company.
POSITION SUMMARY: the CFO will direct and oversee all financial activities of the corporation including preparation of current financial reports as well as summaries and forecasts for future business growth and general economic outlook.
ESSENTIAL FUNCTIONS:
· Reports directly to President
· Lead all of the Company’s finance activities including general accounting, public accounting, cost accounting, financial analysis, pricing, internal control, budgeting, estimating, forecasting, financial reporting, bank relationship, covenant compliance, insurance and risk management, overall tax strategy and compliance.
· Supervise and manage administrative support staff of one.
PRIMARY RESPONSIBILITIES
· Hands-on responsibility for the day to day operations including receivables, payables, general ledger and payroll functions.
· Develop and implement finance, billing, HR, and accounting controls, policies and procedures. Develop and implement Sarbanes-Oxley program.
· Preparation of financial statements, including consolidations, 10K, 10Q, 8K and other regulatory filings. Ensure records systems are maintained in accordance with GAAP and generally accepted auditing standards. Oversee auditors and tax accountants.
· Preparation of business plan, projections, budgets and prospects for future growth, including M&A and/or expansion into new product areas.
· Ensure Company’s compliance with Securities and Exchange Commission regulations as well as Federal Communications Commissions and IRS requirements.
· Oversee the implementation and integration of a complex data-base billing system.
· Oversee corporate governance, including board of directors reporting, minutes, and filings.
· Oversee shareholder relations, stock issuance and transfer activities, and shareholder communications.
· Participation in fund raising activities, including private placement and debt placement activities.
QUALIFICATIONS
· Advanced degree or CPA.
· At least 10 year of progressive financial management experience, experience as a CFO a plus.
· Previous experience with SEC compliance, including 10K and 10Q.
· Previous fund raising experience.
· Hands-on, proactive team player.
· Wireless experience a big plus.
